Premium License Agreement

Parties

  • Licensor: Gemological Research Association (GRA), represented by HeiDoc V.O.F.
  • Licensee: [Company/Dealer Name], hereinafter referred to as "Licensee".

Subject Matter

The Premium License allows full access to all GRA features, advanced branding options, and broader certification privileges.

Scope of License

  1. Creation of certificates for moissanite stones of all sizes from 0.3 carats and above.
  2. Certificates may include Laser ID numbers where applicable.
  3. Advanced API access for bulk creation, integration with dealer software, and real-time queries.
  4. Customization of certificates with the Licensee’s own branding and logo (co-branding).
  5. Extended marketing rights: GRA logo and seal may be used in both digital and print media worldwide.
  6. Premium analytics and customer verification tools.

Obligations of Licensee

  • Ensure certificates are only issued for genuine moissanite stones.
  • Accept random compliance checks by GRA.
  • Avoid misleading customers by using GRA certificates for non-GRA stones.
  • Maintain ongoing subscription for continued validity of Premium features.

Fees

  • Premium monthly license fee according to the published schedule.
  • Additional surcharge for certificates issued beyond quota.

Term and Termination

  • Minimum term: 12 months.
  • Termination requires 6 months’ written notice.
  • If the subscription is terminated, Premium features (e.g., co-branding) are deactivated, but previously valid certificates remain visible in the system with their original certification level intact.

Subject Matter

The Licensor grants the Licensee limited access to the GRA certification platform for the creation and verification of gemological certificates for moissanite stones.

Scope of License

  1. Licensee may generate certificates for moissanite stones.
  2. Licensee receives limited access to the GRA online portal (certificate creation and lookup).
  3. Licensee may display the official GRA logo in connection with certified stones only.
  4. License does not include rights to sublicense, resell, or share portal access.

Obligations of Licensee

  • Provide accurate and truthful gem data when requesting certificates.
  • Ensure that certificates are generated only for genuine moissanite stones supplied by the Licensee.
  • Protect login credentials from unauthorized use.
  • Comply with all applicable laws and regulations in their jurisdiction.

Fees

  • Licensee shall pay a monthly license fee as defined in the Basic pricing plan.
  • Certificates may be created up to the monthly quota without additional charges.

Term and Termination

  • Minimum term: 12 months.
  • Either party may terminate with 3 months’ notice before the end of the term.
  • Licensor reserves the right to terminate for breach of obligations, fraud, or misuse of the system.

General Provisions

  1. Intellectual Property

    • The GRA name, logo, and associated marks remain the sole property of the Licensor.
    • No rights are transferred other than those explicitly granted.

  2. Data Protection

    • Licensee agrees to comply with all applicable data protection laws (e.g., GDPR).
    • GRA reserves the right to log certificate usage and associated metadata.

  3. Limitation of Liability

    • GRA provides the system “as is” and is not liable for indirect damages.
    • Licensor’s liability is limited to the value of the license fee paid in the last 12 months.

  4. Governing Law & Jurisdiction

    • These agreements are governed by the laws of the Netherlands and the European Union.
    • Exclusive jurisdiction lies with the courts of Maastricht, the Netherlands.
